the role:
the country legal counselnserves as the chief legal officer of the organization having strong hold on company law and regulations overseeing all legal matters to ensure compliance with laws and regulations, managing risks, and supporting the company's strategic goals. provides legal advice to the executive team and board of directors, manages the legal department, and represents the organization in legal matters.
key responsibilities:
- strong and thorough knowledge of company law including csr
- sound knowledge of fema related to foreign remittances, odi and fla compliances
- advise the board on governance matters, helping to ensure that the company adheres to the highest standards of corporate governance. collaborate with internal stakeholders to ensure alignment on governance and compliance matters
- assess impact of changes in law and regulatory environment, impacting the company
- liaise with external legal counsel and regulatory advisors for effectively managing compliance
- participate in identifying and managing corporate compliance risks, ensuring that the company has adequate risk management practices in place.
- undertake and drive process and system improvements
- work closely with finance, internal audit, tax, hr and legal teams on all matters related to india board governance and related regulatory compliance
- guidance during due diligence, structuring decisions related to acquisitions
- strong knowledge and experience on rectification of fema non-compliances related to share allotments and transfers to non-residents
- ensuring compliance related to all statutory meetings such as board / committee meetings, general meetings, as may be required by law, within prescribed timelines.
- ensure that board procedures and internal policy approvals are diligently adhered to.
- guidance on drafting directors reports, csr reports, loan agreements
- ensure compliance of all regulatory filings with mca / rbi including filings for adhoc events, as may be necessary.
- ensure that secretarial audit is conducted as per prescribed timelines, in compliance with secretarial standards.
